BYLAWS

ARTICLE I - NAME

Section 1
The name of this organization shall be the Sunland Village East Bocce Club.

ARTICLE II-MISSION STATEMENT

Section 1.
To provide and promote a recreational activity for the residents of Sunland Village East (SVE) which includes rules, instruction and equipment. In addition, oversee the maintenance of the equipment and the Bocce Courts.

ARTICLE III - MEMBERSHIP

Section 1.
Members must be a resident of SVE.

Section 2.
A member may participate in league play, club events and tournaments.

Section 3.
A member is required to follow the Bocce Rules as published and posted at the Bocce courts.

A. All Bocce Rules (and changes) shall be approved by a majority vote at a General Membership Meeting.

ARTICLE IV - DUES

Section 1.
Membership in this organization is open to any SVE resident.

A. Membership dues shall be collected annually.

1. The dues amount shall be approved by a majority vote at the Spring General Membership Meeting.

2. Dues collection is overseen by the Treasurer.

B. The membership year is October 1 to September 30.

C. Dues are accepted any time after October I s1.

D. When registering, members must provide their name, address, gender, phone and whether they wish to sign up for a league.

E. Dues must be paid by December 15 of each year to be guaranteed league play. Following the deadline, there is no guarantee of being placed on a league.

F. Dues are accepted up to the end of the season for non-league members.

ARTICLE V - FINANCES

Section 1

All finances are overseen by the Board of Directors (Board).

A. The fiscal Year is April l to March 31

B. A budget for the ensuing year shall be provided at the Spring Membership Meeting

1. The Board shall make adjustments to the Budget as needed.

C. All expenditures must be approved by the President or the Board of Directors.

D. Reports on income, expenses and account balances must be provided at each Board and Membership Meeting.

E. A fiscal yearend financial statement must be presented at the Fall membership meeting.

F. A financial statement must be completed for the calendar year and provided to the SVE accountant.

G. Financial Records will be retained for each fiscal year and will include: a list of all income and expenses, all bank statements, receipts, and deposit slips.

ARTICLE VI - MEETINGS

Section 1

Robert's Rules of Order, Newly Revised, shall serve as a guide for all meetings. A copy of Roberts Rules will be available at each Membership Meeting.

Section 2.
Board Meetings should be held monthly at the discretion of the Board.

A. When circumstances dictate, a meeting may be called by either the President or at the request of two Board Members.

Section 3.
There shall be two General Membership Meetings

A. Fall (example November)

l. Agenda will include: collection of dues, sign-up and plans for league play, plans and committee sign-up for the year's activities, and any bylaw or rule changes.

B. Spring (example March at end of league play)

1. Agenda will include: discussion of league play, development of the following year's activities, dues, Board elections, and any proposed bylaw or rule changes.

Section 4.
The agenda, date, time, and location of all general meetings shall be posted at the courts and on the website a minimum of one week prior to each meeting.

ARTICLE VII - QUORUM

Section 1.
Defining a quorum for voting.

A. Four (4) Board members shall constitute a quorum at Board of Directors Meetings.

B. Twenty-five per cent (25%) of the membership shall constitute a quorum at General Membership Meetings.

ARTICLE VIIl - VOTING

Section 1

Voting Rights of members

A. The voting members of the Board of Directors (Officers) are President, Vice President, Secretary, Treasurer, and (two) Members-at-large.

B. Each member (including officers) has one vote at General Membership Meetings.

ARTICLE IX - ELECTIONS

Section 1
The elections are held in conjunction with the Spring General Membership Meeting.

A. A nominating committee consisting of three members shall be appointed by the Board at the beginning of January, The committee shall present candidates for consideration at the Spring General Membership Meeting. Additional nominations may be made from the floor with prior approval of the nominating committee.

B. A member and their relative may serve on the Board at the same time.

C. The 6 Board positions shall be two-year terms: At each Spring General Membership Meeting, the membership shall elect three (3) members to serve on the Board.

1. After the close of the Spring General Membership Meeting, the new Board will convene to elect who will serve in each position for the coming year.

ARTICLE X - BOARD OF DIRECTORS

Section 1.
Shall have the authority to approve an expenditure of up to $2000.00 for any expenditure not provided for in the budget.

A. If the expenditure exceeds $2000.00, a General Membership vote must be taken.

Section 2.
Shall appoint a Webmaster annually following the Spring General Membership Meeting.

Section 3.
Shall appoint a Jam Session Coordinator following the Spring General Membership Meeting.
Section 4.
Shall oversee Bocce promotion at new resident orientations.

Section 5.
Should a Board member find s/he is unable to complete their term of office, the Board of Directors shall appoint a member to complete the remaining term.

Section 6

Members may only serve in the same Board position for four consecutive years (2 terms). Members may not serve on the board for more than 8 consecutive years.
A. The member must not serve in an elected position for a minimum of one year before being again elected to the Board.

Section 7

Duties of the Board of Directors (Officers)

A. President

1. Shall attend all Board and Membership Meetings

2. Shall preside over all meetings.

3. Shall have the authority to call a meeting, if necessary.

4. Shall appoint, and is a member of, all committees.

B. Vice President

I. Shall preside over all meetings in the absence of the President

2. In the case of resignation or removal of the President, may complete the term of that office.

3. Shall perform other duties as assigned by the President.

C. Secretary

1. Shall attend all Board and Membership Meetings.

2. Shall record and provide minutes of all meetings.

3. Shall submit a monthly article to the Outlook (SVE newspaper).

4. Shall handle all correspondence.

a. Shall handle or oversee (with the approval of the Board) the distribution of club emails.

5. Shall perform other duties as assigned by the President.

D. Treasurer

1. Shall attend all Board and Membership Meetings

2. Shall collect and record all income and expenses.

3. Shall create and maintain a current roster of members annually.

a. Roster includes member's name, address, gender, email address, and phone number.

4. Shall submit treasury reports at all meetings including income, expenses and current balances for all accounts.

5. Shall present a budget at the Spring General Membership Meeting for the following year.

6. Shall submit a calendar-year financial statement to the SVE accountant by January 31 of the following year.

7. Shall perform other duties as assigned by the President.

E. Members at Large (2)

1. Shall attend all Board and Membership Meetings

2. Shall perform other duties as assigned by the President.

ARTICLE XI - WEBMASTER

Section 1

The board of directors shall appoint a Webmaster at the beginning of each year.

A. The website is svebocce.com and the password will be provided by the webmaster to current members.

l. The webmaster shall inform the Board of a new password at the beginning of their term.

B. The Board President or the Board of Directors shall approve all additions/changes to the website.

ARTICLE XII - VACANCIES AND REMOVAL

Section 1

An individual's membership may be revoked. •

A. The member receives a written warning about inappropriate behavior. The next occurrence could result in their membership being revoked.
Section 2

Officer vacancy (See Article X, Section 5)

ARTICLE XIIl - BYLAW

Section 1
These Bylaws may be amended at any General Membership Meeting by a two-third (2/3) vote of those present and voting. (A quorum of 25% of the members must be present.)

A. Proposed amendments shall be emailed to all members and posted at the courts. (Hard copies available by request of the President)

B. Bylaw proposals must be posted a minimum of ten (10) days prior to the meeting.

Section 2
In the event of a change to these bylaws, the newly approved document shall be signed and dated by the current Board members at the time of the approval.

A. The signed document shall be presented to the SVE HOA Board of Directors for approval.

Section 3

In the event of a conflict with any SVE HOA governing document, the more restrictive rule will apply.

ARTICLE XIV - DISSOLUTION

Section 1

In the case of the dissolution of the Bocce Club, all monies are recovered by the SVE Association.
